Patel Anderson LLP is seeking a motivated attorney to join the firm’s commercial real estate practice in the position of Paralegal – Commercial Real Estate. Must have 2+ years of prior experience in real estate, financing, corporate, and other transactional legal work. Our commercial real estate practice routinely handles a variety of complex matters, including (i) leasing and purchase-and-sale transactions with respect to raw land, improved property, hotels, office buildings, multifamily projects, shopping and retail centers, restaurants, and gas stations; (ii) real estate finance transactions, including real estate loans, construction loans, and loan assignments; and (iii) joint-venture transactions and private offerings. The candidate must have sufficient knowledge to assist in such transactions from the Letter of Intent stage to Closing. Responsibilities: • Ensuring the safety and maintenance of client confidentiality • Preparing ancillary legal documents in all aspects of transactional law • Preparing and filing formation documents of all types of corporate entities including charter documents, organizational consents, bylaws, company agreements, partnership agreements, obtaining EINs and qualifications in applicable state jurisdictions • Monitoring and reviewing transactional documents for the purpose of preparing and updating the closing checklist to track the status of transactional documents and the progression of the transaction • Review and assist with the preparation and negotiation of standard contracts, including non-disclosure agreements, master services agreements, consulting agreements, and basic amendments and change orders • Prepare due diligence request lists; guide and work with clients for the collection of due diligence information and materials; analyze due diligence materials to assist attorneys, collaborating with clients, and aid attorneys in consulting with opposing counsel to resolve open issues • Analyzing corporate documents to determine jurisdictions in which to conduct searches for UCC-1 financing statements; federal and state tax liens; furniture, fixtures, and judgment liens; bankruptcy filings; and federal, state and county litigation filings • Coordinating requests between multiple parties involved in litigation by way of consistent communication with clients, claims, and full partnership with an attorney through the end of the case • Prepare initial draft of agreements, corporate entity documents, leases, financing statements, purchase and property management agreements, as well as title abstracts, summaries, and commitments, as required • Making sure that all tasks/activities assigned are completed within the given deadline. • Research and analyze legal sources such as statutes, recorded judicial decisions, legal articles, treaties, constitutions, and legal codes • Prepare, organize, and file documents and correspondence • Coordinate and schedule calendars • Performs other related duties as assigned Qualifications: • Bachelor’s Degree or higher from an accredited university • Exceptional communication skills (oral and written) • Commitment to abiding by the set laws and behaving ethically • Willing to travel for business purposes including flying • Excellent interpersonal skills • Strong critical thinking skills • Excellent public speaking skills • Adaptability and attention to detail • Ability to work on a transaction with minimal supervision • Ability to work with supervising attorney to develop strategies for a case • Dependable, ethical, and trustworthy • Strong desire to provide exceptional customer service • Self-starter and able to work independently Physical Requirements: • A prolonged period of sitting at a desk and working on a computer. • Repeat the same movements. • Use hands to handle, control, or feel objects, tools, or controls.
